Terms of Service
These Terms govern your use of the NeuraCore AI VN website, AI demos and services, including any features that connect to third-party platforms such as TikTok.
1. Acceptance of Terms
These Terms of Service (the "Terms") form an agreement between you and NeuraCore AI VN ("NeuraCore", "we", "us") governing your use of the website at https://neuracoreaivn.com, the demonstrations on it, and any related features we make available (together, the "Services").
By using the website, running a demonstration, sending us a consultation request, or connecting a third-party account such as TikTok, you accept these Terms; if you do not, please do not use the Services. If you use the Services for an organisation, you confirm you are authorised to accept these Terms on its behalf, and "you" then means you and that organisation.
These Terms work together with our Privacy Policy and our Data Deletion instructions, which explain what we do and do not keep. Effective and last updated: September 9, 2026.
2. Description of Service
NeuraCore AI VN builds AI infrastructure for business digital transformation in Vietnam. The website presents what we do and lets visitors try working demonstrations. The Services described on the site include HR and attendance management, operations monitoring from camera frames, inventory management, market analysis, marketing optimisation, a 360° customer portrait, AI livestream scripting, AI legal-advisory drafting, an AI customer-service assistant, and an AI analysis desk for business documents.
The demonstrations are illustrative: they show how our systems respond to your own description of your business, and their output is generated by an AI model. Nothing a demonstration produces is professional, legal, financial or medical advice, and it should not be the sole basis for a business decision.
The AI model behind the demonstrations runs on hardware NeuraCore operates, behind a private gateway.
3. Eligibility
The Services are built for businesses and the people who work in them. To use them you must be at least 18 years old and legally able to enter into a binding agreement. The Services are not directed to children.
Where a feature connects to a third-party platform, that platform's own eligibility rules apply as well: TikTok sets its own minimum-age and account requirements, and you must meet them before connecting a TikTok account through our Services.
You must also be permitted to use the Services under the laws that apply to you, and must not use them if we have previously terminated your access.
4. User Accounts
Much of the website works with no account at all. You can read the site, run the demonstrations and follow the digital-transformation journey without registering or logging in.
Some features require more than an anonymous visit — connecting a TikTok account so that content can be published on your behalf, for example. Where a feature requires an account with us or an authorised connection to a third-party account:
- You are responsible for the accuracy of the details you provide and for keeping them up to date.
- You are responsible for your credentials and for every action taken through your account or a connected account, whether or not you took it yourself.
- You must tell us promptly, at contact@neuracoreaivn.com, if you believe an account or a connection has been used without your permission.
- You must not share access with anyone not authorised to act for your organisation, or transfer a connection to another party.
You may disconnect a connected account at any time, as described in section 6.
5. TikTok Integration
Where our Services offer TikTok integration, it exists so that you can prepare content with our tools and publish it to your own TikTok account through TikTok's official APIs. It works only after you choose to connect an account, and only for that account.
If you connect a TikTok account, the integration may:
- read basic profile information for the connected account, so you can see which account you are working with;
- let you draft, assemble and review video or image content and its caption before anything leaves our Services;
- upload that content to TikTok and publish it, or place it in your drafts, when you ask us to;
- report the status TikTok returns for an upload — succeeded, still processing, or rejected.
The permissions ("scopes") involved are shown to you by TikTok at the moment you authorise the connection, and we request only those needed for the features you use. We do not use a TikTok connection to browse other people's accounts, and we act on your account only for the feature you started.
6. Authorization and OAuth
We gain access to a TikTok account only after you grant it through TikTok's own official authorisation (OAuth) flow. You sign in on TikTok's pages, not ours; we never ask for, receive or store your TikTok password.
TikTok displays the scopes being requested before you approve them, and the connection is limited to them. The access and refresh tokens TikTok issues are held in server-side storage, are used only to provide the functionality you asked for, and are never exposed in the browser, placed in a URL, or shared with anyone else.
You can revoke access at any time, from the app-permissions settings inside TikTok or through the disconnect control in our Services. Revoking access ends our ability to act on the account, and connected features will stop working until you authorise again. Revocation does not affect content already published to TikTok — you manage that in TikTok. Our Data Deletion page explains what happens to stored tokens when a connection ends.
7. User Content
"User Content" means everything you supply to the Services: the business details and prompts you type into a demonstration, documents you upload to the analysis desk, camera frames you submit, and any video, image, audio or caption you prepare for publishing.
User Content remains yours. You grant us only the limited, non-exclusive licence needed to host, process, transmit and display it in order to operate the feature you are using — including sending it to our AI model and, where you ask, to TikTok for publication. That licence exists to run the Service and nothing else; we do not sell User Content, do not use it for advertising, and do not use it to train AI models beyond delivering the feature you asked for. Information obtained through TikTok's APIs is subject to the stricter limits in section 8 of our Privacy Policy.
The consultation details you send us are kept so that we can reply. Most other User Content does not survive the request that carried it: camera frames and uploaded documents are processed in memory only and are never written to disk or to logs, with only a document's file type, byte size and character count recorded. The journey you build stays in your own browser's session storage. Details are in the Privacy Policy.
You must not upload content you are not allowed to share — in particular other people's personal data, confidential material belonging to a third party, or anything you do not have the rights to.
8. Content Publishing
You decide what is published and when. Our tools help you prepare content, but nothing is sent to TikTok or to any other platform until you confirm the action.
By publishing through the Services you warrant that you hold or have licensed all rights in the material — including footage, images, music and sound recordings, brands and any other third-party material in it — and that you have the consent of any identifiable person appearing in it. You are responsible for any disclosure the law or the platform requires, such as marking sponsored content.
Publishing is subject to TikTok's own processing and review. An upload may be delayed, rejected, restricted or later removed by TikTok. We pass on the status TikTok gives us, but we do not control the outcome.
We make no guarantee about reach, views, engagement, monetisation, ranking or commercial performance of anything published through the Services. Platform algorithms and policies are outside our control.
9. User Responsibilities
When you use the Services, you agree to:
- use them lawfully, under the laws of Vietnam and any other law that applies to you;
- comply with the rules of any third-party platform you connect, including TikTok's Terms of Service and Community Guidelines;
- provide accurate information, and not impersonate another person, business or brand;
- keep your credentials and your connected accounts secure;
- review AI-generated output before you rely on it, publish it, or send it to a customer — AI systems can be wrong, and responsibility for what you use remains yours;
- obtain any consent required before you submit information about other people, including camera frames of identifiable individuals and personal data in uploaded documents.
10. Acceptable Use
You must not use the Services to create, transmit or publish content that is illegal, infringing, deceptive, abusive, harassing, hateful, violent, sexually exploitative, or otherwise contrary to the rules of the platform it is destined for, nor for spam, coordinated inauthentic behaviour, artificially inflating engagement, or publishing to an account you are not authorised to use.
You also must not:
- interfere with or disrupt the Services or our infrastructure, or attempt to gain unauthorised access to any part of them;
- probe, scan or test the security of the Services except with our prior written permission;
- attempt to make the AI model produce unlawful material, or generate misleading content presented as a real recording of a real person or event;
- upload malware, or content designed to damage or compromise any system.
11. Intellectual Property
The Services — including the website, its design, text, interface, source code, and the NeuraCore AI VN name and logo — belong to NeuraCore AI VN or its licensors and are protected by Vietnamese and international law. Nothing in these Terms transfers ownership to you.
We grant you a limited, revocable, non-exclusive, non-transferable right to use the Services for your own business purposes under these Terms. You may not copy, modify, distribute, sell, sublicense or create derivative works from the Services, nor reverse-engineer them, except where the law expressly allows it.
As between you and us, you keep the rights in your User Content and in the output generated from it, subject to the licence in section 7 and to any third party's rights in material you supplied. TikTok's marks belong to TikTok, and we claim no rights in them.
If you send us feedback or suggestions, we may use them to improve the Services without obligation to you.
12. Third-Party Services
Parts of the Services connect to platforms we do not control — TikTok above all, and our hosting and network providers. When you use a connected feature, your relationship with that platform is governed by its own terms and privacy policy in addition to these Terms.
We are not responsible for the availability, content or practices of third-party services, and integrating with one is not an endorsement of it. If a third party changes its rules, interfaces or access conditions, the affected features may change or stop working.
The website itself loads no third-party scripts, fonts, analytics or advertising and sets no cookies, and demonstration prompts are processed on NeuraCore's own hardware rather than sent to a third-party AI vendor. Where a connected feature does send data to a third party — publishing to TikTok — it does so because you asked for that action.
13. TikTok Platform
TikTok is a third-party platform. NeuraCore AI VN is not TikTok, and we are not affiliated with, endorsed by, sponsored by, certified by or a partner of TikTok. Our Services integrate with TikTok through its official APIs, as any developer may apply to do.
Your use of TikTok remains governed by TikTok's own Terms of Service, policies and Community Guidelines, which apply to your account and everything you publish; where TikTok's rules are stricter, they prevail for anything happening on TikTok.
TikTok may review, moderate, restrict, remove or refuse content, and may limit, suspend or terminate an account or a developer application, under its own policies and at its own discretion. Those decisions are TikTok's own. We cannot reverse them or guarantee any outcome; questions about them should go to TikTok. If TikTok changes, restricts or disables its APIs, the corresponding features of our Services may change or cease.
14. API Usage
Technical limits keep the Services available for everyone: requests are rate limited, and we may apply quotas, concurrency limits or size limits to any feature and adjust them as needed.
When you use the Services, or any interface we expose, you must not:
- exceed, evade or attempt to defeat published or applied rate limits and quotas;
- scrape, crawl or harvest the Services, their responses, or content reached through a connected platform;
- reverse-engineer, decompile or attempt to derive our models, prompts or infrastructure;
- resell, sublicense, rent or otherwise pass on access to the Services or to any API access we hold;
- use the Services or their output to build a competing dataset or train a competing model.
Where a connected platform is involved, its developer terms, rate limits and data-use rules apply on top of these Terms; TikTok's developer rules apply in full to anything done through TikTok's APIs. We may throttle, suspend or block traffic that breaches these limits or threatens the security of the Services.
15. Service Availability
We work to keep the Services available and responsive, but we do not promise uninterrupted or error-free operation and offer no uptime guarantee. They may be unavailable during maintenance, deployments, incidents, network problems, or events outside our reasonable control.
Because our AI features run on hardware we operate, capacity is finite: at busy times a demonstration may be slower, queue, or be temporarily unavailable. Features that depend on a third-party platform depend equally on that platform staying available.
We may suspend the Services, in whole or in part, to protect their security or lawful operation, and will try to give reasonable notice of significant planned interruptions.
16. Suspension and Termination
You may stop using the Services at any time. If you have connected a TikTok account, you can disconnect it in our Services or revoke access in TikTok's settings, and you can ask us to delete the associated records as described on our Data Deletion page.
We may suspend or terminate your access to the Services, or to a feature, with immediate effect where we reasonably believe that:
- you have breached these Terms, section 10 in particular;
- your use puts the security, stability or lawful operation of the Services at risk;
- continued access would break the law or the rules of a connected platform such as TikTok;
- a third-party platform has withdrawn or restricted the access the feature depends on.
Where appropriate and lawful we will tell you why and, for a breach that can be put right, give you a chance to fix it. On termination the rights granted to you end, but sections that should survive by their nature — 7, 11, 17, 18, 19 and 22 — continue to apply.
17. Disclaimer of Warranties
To the maximum extent permitted by the laws of the Socialist Republic of Vietnam, the Services are provided "as is" and "as available", without warranty of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation.
In particular, we do not warrant that AI-generated output will be accurate, complete, current or suitable for your situation; that the Services will meet your requirements; that defects will be corrected; or that content published through a connected platform will be accepted, kept online, or achieve any reach or revenue.
Nothing in these Terms excludes or limits any right or protection that cannot lawfully be excluded or limited under Vietnamese law.
18. Limitation of Liability
To the maximum extent permitted by the laws of the Socialist Republic of Vietnam, NeuraCore AI VN and those acting for it will not be liable for any indirect, incidental, special, consequential or punitive loss, nor for loss of profits, revenue, business, goodwill or data arising out of or in connection with the Services.
We are also not liable for loss arising from decisions you take on the basis of AI-generated output, from content you choose to publish, or from the acts, policies or enforcement decisions of a third-party platform such as TikTok.
Our total aggregate liability for all claims arising out of or relating to the Services is limited to the amount you have actually paid to NeuraCore AI VN for the Services in the twelve months before the event giving rise to the claim. For features provided free of charge, that amount is zero.
These limits do not apply to liability that cannot be limited under Vietnamese law, including for fraud or wilful misconduct.
19. Indemnification
You agree to defend, indemnify and hold harmless NeuraCore AI VN, its officers, employees and contractors from and against any claim, loss, liability, damage, cost or expense, including reasonable legal fees, arising out of or connected with:
- your use of the Services, or use by anyone acting through your account or a connection you authorised;
- User Content you supplied or content you published, including any claim that it infringes intellectual-property, personality or privacy rights;
- your breach of these Terms or of any applicable law;
- your breach of the rules of a connected platform, including TikTok's Terms of Service and Community Guidelines.
We will notify you of any such claim we become aware of, and you will not settle it in a way that imposes an obligation or admission on us without our written consent.
20. Changes to the Service
The Services are under active development. We may add, change, restrict or discontinue features, demonstrations, integrations and technical limits, and adjust how a feature behaves as our models evolve.
Changes may also be forced on us from outside: if a third-party platform alters its APIs, policies or access conditions, the features that depend on it may have to change or stop. Where a change materially reduces a feature you use, we will try to give reasonable notice.
21. Changes to These Terms
We may update these Terms to reflect changes in the Services, in the platforms we integrate with, or in the law. When we do, we will change the "Last updated" date and publish the revised version at /terms-of-service.
For material changes we will take reasonable steps to highlight them, for example with a notice in the Services. Continued use after a revised version takes effect means you accept it; if you do not accept it, stop using the Services and disconnect any connected account.
22. Governing Law
These Terms, and any dispute or claim arising out of or in connection with them or with the Services, are governed by the laws of the Socialist Republic of Vietnam, without regard to conflict-of-laws principles.
We would prefer to resolve any disagreement directly, so please write to us at contact@neuracoreaivn.com first and we will try to settle it in good faith. If that fails, the dispute will be submitted to the competent courts of Vietnam.
If any provision of these Terms is held invalid or unenforceable, it will be limited or removed to the minimum extent necessary and the rest stays in full force. A failure to enforce a right is not a waiver of it.
